RECORD RESULTS IN 2024
In 2024 Holcim delivered record performance and generated more than CHF 5 billion of Recurring EBIT for the first time.
- Full-year net sales of CHF 26,407m
- Recurring EBIT of CHF 5,049m and industry-leading recurring EBIT margin of 19.1%
- Free cash flow after leases of CHF 3,801m, up 2.6%
- Earnings per share1 of CHF 5.24, up 5.3%
- Proposed 11% increase in dividend to CHF 3.10 per share

PROPOSED SPIN-OFF OF AMRIZE
The Board of Directors proposes a special distribution, by way of a dividend-in-kind, of one (1) Amrize share for every Holcim share. This vote will enable Holcim to effect the 100% Spin-off of its North American business, to be named Amrize, which we believe will unlock new value for all shareholders. As distinct, independently traded entities, Holcim and Amrize will both benefit from a sharpened strategic and operational focus, with dedicated management teams to capitalize on the unique opportunities in their respective markets.
Amrize is to be listed, under the symbol “AMRZ”, on the New York Stock Exchange and on the SIX Swiss Exchange. The Spin-off is expected to be tax neutral for Swiss tax and U.S. federal income tax purposes.
CLIMATE REPORT 2024
In 2024, we made progress across all our climate targets – making decarbonization a driver of profitable growth, scaling circular construction and bringing nature into cities.
Highlights from the full-year include:
- +20% recycling of construction demolition materials (CDM)2 reaching 10.2m tons
- 7 CCUS projects in execution
- 4% reduction in CO2 / net sales3

BOARD OF DIRECTORS CHANGES
The Board of Directors proposes Kim Fausing as Chairman of the Board of Directors of Holcim. Subject to vote at the Annual General Meeting 2025, Kim Fausing will succeed Jan Jenisch, who will not stand for re-election following his appointment as the designated Chairman and CEO of Amrize.
Kim Fausing
Kim Fausing, President and CEO of Danfoss since 2017, has been a member of the Board of Directors of Holcim since 2020. Kim is a highly successful senior manager with broad management experience from leading positions in global industrial companies. In 1990, Kim began his career at the Hilti Group, where he held several international roles in Europe and Asia. In 2008, he joined Danfoss Group as COO and Member of the Executive Committee, before becoming President and CEO.

Adolfo Orive
The Board proposes Adolfo Orive for election as a new independent member of the Board of Directors at the Annual General Meeting 2025.
Adolfo Orive, President & CEO of Tetra Pak since April 2019, led various functions and businesses at Tetra Pak over three decades across geographies worldwide. Under Adolfo Orive’s leadership, the company has accelerated its sustainability journey to fulfill its purpose and achieve growth with customers worldwide.

Sven Scheider
The Board proposes Dr. Sven Schneider for election as a new independent member of the Board of Directors at the Annual General Meeting 2025.
Dr. Sven Schneider, Chief Financial Officer of Infineon Technologies AG since 2019, is a highly experienced finance leader with a proven track record in managing large-scale operations. He started his professional career in 1995 at Linde AG in the finance department. From 2000 to 2019, he held leading positions at Linde, most recently as Spokesman of the Executive Board, Chief Financial Officer and Labor Director.
